1. Al Shirawi US Chillers LLC is authorised by Nakheel PJSC to provide the service of Chiller Billing and Collection. Collection is undertaken by Al Shirawi US Chillers LLC pursuant to a valid District Cooling and Collection Agency Agreement with Nakheel PJSC dated 03 Oct 2011.
2. Al Shirawi US Chillers LLC is only facilitating the online payment. The online payment is done through third party payment gateway service provider and, all payments will be directly credited to Nakheel PJSC’s bank account. Al Shirawi US Chillers hereby disclaim liability for the amounts collected once it has been credited to Nakheel’s nominated bank account.
3. By choosing to avail the online payment service, you acknowledge and accept to have read the below terms and conditions and, the same shall be binding and applicable on you; Nothing in these terms and conditions affects your statutory rights, either as a consumer or otherwise.

1. By accepting to avail online payment service, you consent to the collection, processing and, storing of the financial information with the third party payment gateway service provider. Al Shirawi US Chillers LLC will not collect, process, store or utilised any financial information including but not limited to bank account information, debit or credit card number, OTP, expiry date, CVV number or other data. 2. By accepting the terms and conditions, you certify that all information you provide, now or in the future, is accurate and you agree to the following:
   1. To keep your Password safe at all times and not to disclose it to any other person.

You acknowledge and agree to hold Al Shirawi US Chillers LLC fully indemnified against all claims and liabilities from the action, omission, negligence or fraud by third party payment gateway service provider or any other party. To the fullest extent possible under the law, you hereby waive your rights available to you under existing laws or any future laws to bring any claim or initiate any action against Al Shirawi US Chillers LLC on account of any error, omission, negligence or fraud while using the third party payment gateway service provider.
7. Al Shirawi US Chillers LLC will not be liable for any errors, omission, negligence and fraud occurring while using the third party payment gateway service provider for online payments.
8. Al Shirawi US Chillers LLC will issue receipt against any online payment, once the payment is credited to the bank account Nakheel PJSC.
9. These terms and conditions shall be governed by and shall be construed in accordance with the laws of the Emirate of Dubai and the federal laws of the United Arab Emirates, as may be applicable. The parties hereby agree to submit to the exclusive jurisdiction of Dubai Courts (excluding the DIFC Court of First Instance and the DIFC Court of Appeal as established under Article 3 of Dubai Law No. 12 of 2004 and pursuant to Dubai Law No. 9 of 2004 “DIFC Courts”) to settle any dispute arising from or connected with this Agreement, including without limitation, non-contractual disputes and disputes regarding the existence, validity or termination of this Agreement or the consequences of its nullity.
10. Al Shirawi US Chillers LLC reserves its right to amend or change these terms and conditions. You acknowledge and accept that such amended or changed terms and condition will be binding and applicable upon you immediately without the requirement of any notice.
